1. Introduction

These Terms of Service ("Terms") govern your access to and use of the technology platform and infrastructure provided by ScionX Fintech Ltd ("ScionX," "we," "our," or "us"). ScionX is a company incorporated in England and Wales under registration number 16448192, with a registered office at 128 City Road, London, EC1V 2NX.

By using our Services, you agree to these Terms. If you do not agree, you must not use the Services.

2. Definitions

• "Services" refer to ScionX's APIs, smart contract templates, and supporting infrastructure designed to facilitate non-custodial, peer-to-peer transactions on decentralized blockchain networks.
• "User" refers to any individual or entity that accesses, integrates with, or uses the Services.
• "Third-Party Services" include fiat on/off-ramp providers, Know Your Customer (KYC)/Know Your Business (KYB) providers, blockchain networks, and cloud infrastructure vendors.
• "Fees" means any charges payable by you to ScionX for access to or use of the Services, as specified in a separate Fee Schedule which may be updated from time to time.

3. Scope of Services

3.1 What We Provide

ScionX offers a suite of developer tools and technical infrastructure, including:

• APIs and web interfaces for non-custodial crypto payment acceptance.
• Open-source smart contracts
• Optional integrations with third-party compliance providers (e.g., KYC/KYB) and fiat on/off-ramp partners.

3.2 What We Do Not Provide

ScionX does not:

• Hold, access, or manage user funds or private keys.
• Execute, initiate, or validate user transactions on their behalf.
• Act as a financial intermediary, payment processor, exchange, or wallet service.
• Guarantee blockchain uptime, transaction finality, or network reliability.

All transactions are initiated and signed by users through their own wallets.

4. User Obligations

By using the Services, you represent and warrant that:

• You are not a resident of, or transacting on behalf of a resident of, a sanctioned jurisdiction
• You will not use the Services for unlawful activities, including but not limited to:
  • Money laundering
  • Terrorist financing
  • Sanctions evasion
  • Fraud or market manipulation
• You assume full responsibility for the security of your private keys, wallets, and transaction execution.
• You acknowledge the irreversible nature of blockchain transactions and accept the risks of loss due to smart contract bugs, phishing attacks, or user error.

Violation of these obligations may result in immediate termination of access, permanent IP blocking, and, where applicable, reporting to competent authorities.

5. Third-Party Services

The Services may involve integrations with third-party providers for compliance checks, fiat settlement, and identity verification. ScionX does not control these services and is not responsible for their operations.

You acknowledge and agree that:

• ScionX does not endorse or assume responsibility for any third-party service providers.
• Any disputes, failed transactions, or losses arising from third-party services must be resolved with the relevant third party.
• ScionX is not liable for downtime, data breaches, fraudulent activity, or regulatory enforcement actions by or against such third parties.
